Opportunity with a Pharma Company as a Legal Counsel  Location Mumbai  Experience: 6 years+ Post LLB / LLM  Key Responsibility Areas: (Core functional areas required to perform the job):  - Primarily assist Reporting Manager and support company legal team in carrying out various activities such as:   - Legal contracts- draft and review not-very-complex contracts more pertinent under Indian laws such as service/vendor agreements, IT (third party services) agreements, consultancy agreements, Leave and License agreements, draft/respond to notices, power of attorney etc.  - Legal contracts more pertinent to company global business - such as prepare first level draft of distribution agreements, consultancy agreements, industry related service agreements (example- regulatory consultant, advisor etc) using companies templates. Review and respond to comments received from opposite side in relation to a contract exchanged.  - Liaise with external Company Secretary and carry out administrative tasks related to company secretarial matters (such filing of timely annual returns, reviewing minutes of board meetings and ensure all critical matters get recorded under board meetings)  - Corporate Compliance - adhere, imbibe and ensure all at the company are well trained and compliant with company's compliance policy applicable to its business (example Competition law, Anti-Bribery policy, Policy related to regulatory affiars, Data protection). Conduct training and workshops to ensure all Business Units teams understand the risks associated with non- compliance.   - IP / Trademark (global) - renewal/follow up/registration of trademark, domain names, artworks.  - Update companies agreement templates to record changing business policies and circumstances.  - Assist the Reporting Manager in advising and educating BU's to help them understand their contractual obligations.  - Assist in various projects undertaken by companies Legal team.  - Assist BU's - by promptly addressing their queries or issues faced by them.  - Coordinate and liaise with external Legal Consultants as may be required from time to time;  - Contract Management - compare and manage various versions exchanged with other side until final execution and sign off of contracts. Prepare contract summaries. Create and maintain contracts database with an aim to mitigate risk and improve business efficiency .   Essential Qualification: (Relevant qualification required):   - Graduate in any field with a Law Degree (LL. B).   Desirable Experience:  - Law graduate with at least 4 years of experience with a Pharma company (out of total 5 years) having handled similar responsibilities (exposure to international contracts).  Essential Experience: (Relevant experience/sector/role):   - At least 5-6 years of total experience in General Corporate Legal work and Compliance.   Required Skills: (e.g. Communication skill, Interpersonal skill):   - Legal knowledge and legal information should be well founded.   - Excellent command in English Language ( both written and spoken)   - Must be proficient in MS office applications and must be comfortable using technology in executing various tasks.  - Should have a strong sense of responsibility and accountability for work deliverables.   - Should posses good interpersonal skills, team-player and be able to work in diverse culture.  - Should take ownership of task/responsibility until its logical conclusion.
