Legal Counsel/Legal Head - Manufacturing

Company Profile: Our client is a very large, professionally managed, highly profitable Global MNC manufacturing organization based in USA-World Leaders in their field. Our clients have a Global turnover exceeding Rs.4000 crores and having operations in USA, Mexico, Canada, Europe, Middle East, South Asia & India. Our clients are on a rapid transformation phase and hope to grow very rapidly in the next few years. They have recently started an offshore shared services centre / office in Mumbai to handle global IT, SAP, Accounting and other services. They now plan to start offering Legal Services Globally from India. The India office caters to US, Canada, Europe, Saudi Arabia & Asia. Our clients seek to recruit a dynamic & experienced Legal Professional to help out in the Global - Legal function. The position is based in Andheri (E) and reports to the India Head-Services Delivery & Globally to the Global-CEO. The position will involve interactions with and travel to USA, Canada, Europe. Job Profile: The position involves offering Legal Counsel / Expertise to the various global offices of the organisation. Core responsibilities & Legal services to be offered globally to various country-offices would cover drafting agreements, vetting and preparing various legal documents, addressing issues related to employment and hiring of employees and labour. Will be involved in dealing with day to day corporate / strategic advisory, drafting and negotiating high value and complex contracts for procurement of technology and services, software licensing and managed services deals. Also, taking care of the entire compliance management. Responsible for smooth and speedy functioning of the department.

Key responsibilities are providing legal advice on general daily corporate legal matters, transaction structuring and preparation of documentation for business functions.

The position covers:

Drafting, reviewing, negotiating and settling legal and transactional documents & agreements;

Preparing Contracts / Agreements

Preparing Manuals / Policy Documents as may be required by various Overseas functions.

Coordinate with outside Counsel in case any matters are referred to them.

Assist in Corporate Law compliance activities of Group entities.Ensure compliance with applicable laws, regulations as well as adherence to internal group policies and procedures.

Advise / assist on international legal / WTO / OECD or other Global matters, as may be required

Undertake research activities to provide inputs on legal matters.

Maintain Legal Files.

Develop effective relationship and engagement with internal stakeholders, clients, business associates and other function groups

Candidate Profile: We are looking for a bright individual with a Bachelors or Masters degree in Law from one of the top Law schools in India with 12-25 years experience in an American / European Multinational company with exposure to US, European Laws. The incumbent will report functionally to the senior management overseas and administratively to the India Head Business Services. Must be willing to work solo (without any team support) & travel overseas periodically.
