Role of the Lead Independent Director :

1. Identify the most critical issues for the board to deal with

2. Assist the board in achieving consensus on important issues

3. Play the role of a facilitator outside the board room especially on contentious issues

4. Work with the CEO to prioritise issues, set the agenda and enable it to focus on substantive issues

5. Ensure that board conversations do not veer in the direction of certain unwanted topics / individual preferences

6. Provide candid feedback to CEO, CFO post an executive session.

7. Keeping themselves update and undertaking appropriate induction and refreshing their knowledge, skills and familiarity with the company

8. Not disclosing important and confidential information of the company unless approved by the board or required by law.

9. Actively participating in committees of the board in which they are chairperson or members

10. The meeting must be convened without the presence of the non-independent directors and members of the management

11. Evaluate the performance of the chairperson of the company

12. Review the performance of the non-independent directors and the Board as a whole of the company

Role, duties and Responsibilities : 

As members of the Board, they along with the other Directors will be collectively responsible for meeting the objectives of the Board which include:

- Requirements under the Companies Act, 2013, Insurance Act, 1938 and other applicable Regulations, guidelines etc.

- Accountability under the Director's Responsibility Statement. B. They shall abide by the - Code For Independent Directors- as outlined in Schedule IV of the Companies Act, 2013 and duties of directors as provided in the Companies Act, 2013.
