Reporting Relationship : G.M -Legal  Job Purpose :  Person will be responsible for the effective and efficient management of legal activities for India and Global operations including contract management, corporate advisory, compliance, and legal research, IPR, Merger and Acquisition across the organisation and ensuring effective management of legal and contractual risks and ensure no legal exposure on the Company, its Director and its employees.  Principal Accountabilities and KPIs :   Key Accountabilities :  Manage, Assist and take care of various Contractual arrangement (for India and global operations) entered on behalf of the Company in order to ensure no or minimum legal exposure on the Company.  Applied Activities :   - Gathering/Collecting information from concerned teams.  - Drafting and vetting of agreements based on inputs provided above or sharing of the same with Company External counsels for their views/draft, as may be required.  - Seeking requisite approvals carrying out changes, wherever necessary.  - Sharing the Draft with the business teams for their inputs/suggestion if any and then finalising the Draft to be circulated for the other side's looking.  - Negotiation/discussion with external stakeholders and re-drafting of the agreement if required.  - Checking for final execution of the agreement.  - Development of standard agreement templates and SOPs  Key Accountabilities :   Manage, execute and advice on litigation issues filed by or against the Company in order to ensure less risk or exposure on the Company and also to attain compliance of applicable laws  Applied Activities :   - Collecting and gathering of information from various departments/ functional teams in order to understand the matter and make brief for the same.  - Discussion and briefing with external advocates on the said matters.  - Drafting/ vetting of the various replies, claims, and petitions to be filed in the Court or with statutory bodies.  - Attending proceedings before the Court or Statutory Bodies as and when required.  - Regular follow- ups of the matters.  Key Accountabilities :   Providing corporate advisory, legal research on laws of countries of presence of company in order to enable the company to adhere to compliance of applicable laws and regulations.  Applied Activities :  - Understanding the queries received from the various business teams including global business.  - Advising on the same basis applicable laws and regulations.  - Seeking external support from lawyers, wherever required in order to handle some queries.  - Study of regulations of various countries where the company has operations.  - Advising respective country heads on compliance  - Legal support to global business & Strategy in M&A activity and entry into new market  Key Accountabilities :   IPR life cycle management, enforcement, licensing and Marketing support  Applied Activities :  - Ensure registration, prosecution and renewal of Trademark, Copyrights, designs and patents in India and other countries of operations.  - Coordination with IPR attorneys globally.  - Support in IPR infringement actions including counterfeits raids and litigation.  - Support to marketing team in vetting of advertisements, marketing promotions, schemes etc. in line with advertisement and marketing laws of respective jurisdiction.  - Ensure compliance of legal metrology (Package Commodity) Rules on product packaging  Key Challenges :  1. Inadequate information or delayed information from concerned teams poses challenges in handling contractual arrangement, corporate advisory issues.  2. Coordination with various vertical leads to increase in lead time and execution of work.  3. Operations in 36 countries globally and access to legal regulations in particular country not easily available.  Key Interactions :  Internal :  All departments/verticals within the Company  Nature/ purpose of interaction :   Advisory on various issues/queries as raised by the depts  Interaction/Discussion - Issue based  External :  Advocates, Law Firms, Statutory bodies and external service providers working for the Company  Nature/ purpose of interaction :   Negotiations, Discussions  Educational Background:  Threshold educational qualifications required to execute the role :  - LL.B. (Hons.)  - LLM or any qualification in international laws, IPR will be an added advantage  Relevant Experience: 10 years or more  Skills and Capabilities :   Threshold skills and capabilities required to execute the role :  Very Good knowledge of corporate, commercial Laws and drafting skills  Understanding of global operations and ability to manage complex legal issues in various countries  Ability to work independently, manage business clients, provide independent advice to senior level management on highly technical matters
