Head Legal and Secretarial

Location – Delhi/NCR

This job description is intended as a representation of the primary responsibilities of and qualifications for this position. The job description is not intended as inclusive of all duties an individual in this position might be asked to perform or of all qualifications that may be required either now or in the future

Scope and likely responsibilities

Scope: Leading the legal and Co Secretarial functions of a well known Multi-National company.

- Acting as an internal adviser on all legal and secretarial matters.

- Ensuring statutory and legal compliance of various secretarial legal provisions.

- liaison with external authorities where required

- Representing company in various forums matters on legal and secretarial matters

- Maintaining sustained contact with legal professionals viz. Advisors/Advocates/Solicitors and legal consultants

- Liaison with statutory authorities for legal compliance, completing the formalities and representation

- Providing in-house legal advice on all operational activities and contracts

- Discussing and appraising the Management on issues involved, legal provisions applicable to the issues, the chances of success and the various courses of action available to sort out issues for clients

- Negotiating for and finalizing various contracts and agreements

- Drafting and vetting legal documents including MOUs, Joint Venture / Consortium / Lease Agreements etc.

- Shaping IPR strategy, strengthening IPR systems for new products. Protecting existing and filing new registration applications for trademarks and copyrights

- Contributing by way of due diligence and acquisition of land.

- Conducting AGM/EGM, Board Meetings as required under Companies Act involving issuance of notices, drafting agenda, recording minutes and preparing reports/corporate governance reports finalisation of various notices relating to meetings and also drafting of Directors Report.

- Dealing with various authorities viz. various stock exchanges, SEBI, RBI, Registrar of Companies, Department of Company Affairs, NSDL & CDSL.

- Representing the organization before statutory authorities

Desired Profile

Education:

Qualified Company Secretary and Professional Degree in Law

Experience:

1. Minimum 18-25 yrs of experience in Company Secretarial and corporate Legal functions with well known Corporate. Should have already worked as Head of Legal and Co Secretarial functions for a period of at least 5 years.

2. Experience of working in well known Indian and MNCs.

3. Able to communicate across various levels.

4. Strong IT skills.

5. Analytical skills.

6. Detail oriented.
