Position : Head - Legal   Job Location : Thane  Education : LL.B or LL.M From Top law School.   Experience : Should have 15 -20 Years of Experience as Sr.Manager - Legal or Head - Legal & Should be Currently Heading the Legal Function in a Reputed Manufacturing Company / Setup.  Job Description :  Provide legal advice and assurance :  - To provide legal advice and assurance on all aspects of Corporate law matters in order to support strategic plans, new business initiatives, strategic decisions on new ventures & asset acquisitions/sell off, JVs, M&As both domestic and outbound etc.   - Drafting, vetting, negotiations and finalization of various legal and key commercial contracts/agreements/MoUs for existing Corporate restructuring/expansion/diversification strategic managerial decisions and potential business transactions  - Advise on legal issues arising from all M&A /restructuring/corporate work around the Group, including the issuing of securities, banking transactions, asset acquisitions/demergers, substantial undertaking disposals, treasury arrangements, investment of funds, inter-corporate loans and investments, the granting of guarantees and security and key loan documentations.  - To work closely with key contacts, as well as companies within the Group, on legal implications and risks involved with potential transactions such as mergers, demergers, acquisitions, joint ventures, corporate restructuring, shareholders agreements and business transfer arrangements and corporate contracts and related documentation  - Expert knowledge on corporate laws, including but not limited to including but not limited to Companies Act, FEMA, FCRA, and laws/ regulations related to FDI, RBI, SEBI, Competition Law regulations to advise on corporate restructuring strategies  - To brief and work with senior Counsel, advisors and law firms on key corporate legal matters of the Group  - Identify legal issues and manage  - To identify problems and legal issues and manage and mitigate the financial, legal and reputational risk while keeping the management informed of risks and issues in relation to Corporate Law matters  Provide legal support :  - Provide legal support to internal stakeholders viz. Finance, Tax, Business Development, Commercial teams at Corporate Office including all factories & offices at various locations in India & worldwide of Group of Companies  - Work closely with internal stakeholders vis Finance / Tax / Business Development / Commercial teams for the Group of Companies with respect to corporate legal matters to ensure related corporate action deliverables  Innovative legal solutions :  - To provide innovative legal solutions and structures to business / commercial team  Participate and develop strategies in active material litigations :  - To participate and develop strategies in active material litigations and to manage relationship with external advisors and senior Counsel while managing the corporate litigation  - Understand and manage relationships with external legal counsels to ensure transactions are cost effective and technically robust.  - Provide support to the management on operationalizing the strategies in litigations to ensure it moves to desired directions aimed at to achieve the organizational objectives successfully  Support issues related to statutory authorities :   - Support issues related to various statutory authorities concerning statutory/regulatory compliances & guidelines prescribed by authorities like Ministry of Corporate Affairs, Registrar of Companies, Regional Directors, CLB, Official Liquidator, Courts, FIPB, RBI, Ministry of Finance, SEBI including but not limited to international law related regulatory & statutory rules, regulations & compliances in overseas countries wherever Group has business concentration such like Civil Aviation Authority, FAA Authority in USA for aircraft registration & ownership rights, CAA & Company law authorities in South Africa, Singapore, UK etc. relevant for overseas business affairs of the Group.
