Head - Legal - LLB - BFSI/Real Estate (8-12 yrs)

Location :- Gurgaon

Reporting to:- CEO

Our Client is seeking to appoint a Senior Legal person to look after the Company's legal affairs.

Applicant must be a qualified lawyer and must have funds and/or derivatives experience from either a leading private practice firm or from an In-House Legal team within the Financial Services Sector / Real Estate Sector.

The incumbent will handle all legal aspects of the company's lending and investment transactions, all legal aspects of the company's finance operations, including its liquid asset investments and derivative transactions, provides legal advice for institutional and administrative matters.

Responsibilities will include:

- Manage corporate legal affairs for fund; Manage regulatory affairs fund including necessary filings.

- Manage regulatory affairs of fund including the preparation and maintenance of trust registration statements, regulatory filings and exempted applications.

- Reviewing / drafting / negotiation of legal documents.

- Negotiation, drafting and reviewing a variety of agreements such as confidentiality, marketing and investment management agreements.

- Hands on experience in handling litigations.

- Coordinate use of outside counsel.

- Manage relationships with third party service providers.

- Manage relationship with all applicable regulatory bodies.

- Oversee fund compliance matters.

- Assist the board of directors in developing principles of good governance and codes of best practice.

Priorities:

- Provide a highly efficient and professional legal support service to the company.

- Develop a close working relationship with the fund manager, finance team and asset manager.

- Implement systems and procedures to support the effective provision of company secretarial services.

- Display a sound knowledge of the legal practices in India with respect to both direct and indirect property ownership.

- Govern all legal aspects of one or more property funds.

In addition, the candidate must possess:

- Good written communication skills and personal maturity.

- Excellent problem solving ability.

- High levels of motivation and the tenacity to complete projects in a timely manner.

- Ability to take and action the challenging situations.

Education and Experience:

- Qualified lawyer having passed the bar exam or comparable

- Qualified Company Secretary from Institute of Company Secretaries of India will be an added advantage

- Solid experience in a law firm, legal department of global financial service provider or real estate sector

- Experience required to fill this position should include current and substantial practical experience involving the Indian Companies Act, Indian Stamp Act 1899, Company Law Procedures, FEMA, and Registration Act 1908. Direct Taxes and Income Tax Act experience is important, but not required.

Prefer candidates with some in-house experience having the following specific requirements:

- 8+ years of law firm, in-house or regulatory experience (private equity fund, hedge fund or investment banking experience is attractive, in-house real estate fund experience would be a bonus).

- Experience handling and supervising outside counsel and other service providers
