Head - Legal & CS - FMCG

Urgently looking for a Head Legal & CS (Mumbai) for a growing FMCG company in India.

Reporting to : MD and CEO

Qualification : CS

Job Responsibilities :

Legal:

- Reviewing / drafting various agreements with customers and vendors.

- Preparing agreements with business associates for new projects / business opportunities.

- Maintaining copies of all non-standard agreements for all entities and ensuring timely renewal of those contracts.

- Coordinating with the external legal advisors as and when required on all legal matters initiated by the Company or against the Company.

- Drafting terms and conditions with respect to usage of all products.

- Ensuring complete compliance with PSS guidelines issued by RBI

- Ensuring the compliance with FEMA guidelines.

Secretarial:

- Maintaining all statutory registers as per Company law.

- Conducting Board Meeting, AGM, EGM and ensuring the fulfillment of all formalities relating to these meetings including preparation of agenda, minutes, etc.

- Ensuring timely filing of all returns / forms including e-forms and other relevant documents with the ministry of company affairs / ROC / RBI.

- Issuing power of attorney to concerned person on behalf of the company as and when required.

- Ensuring internal compliance letters from Dept heads to MD / BOD.

- Dealing with Govt. depts. for obtaining all necessary approvals.

- Co-ordinating with secretarial advisor for preparation of various MOU/JV/Joint Venture Agreements/Share-holder Agreement/Deed of Conveyance as and when required.

- Interacting with Corporate Legal and Secretarial Dept abroad for all legal / secretarial requirements

Qualification and Experience Requirements:

- Must be a CS.

- Should have a good experience in FMCG industry.
