- To support the legal function at strides and manage legal, compliance, regulatory, contractual, arbitration, secretarial and related processes to help mitigate risk for the organization
Primary Responsibilities :
- Oversee all legal matters for the system and serve as the primary legal advisor to the CFO, the organizations senior management team.
- Lead and manage the Legal, Compliance, Risk Management, Secretarial and Internal Audit functions.
- Advise on major contracts and transactions, including mergers and acquisitions and business agreements; regulatory compliance; tax-exempt bonds and other financing agreements; litigation; research and intellectual property matters; health IT policy and systems; labor and employment issues. Pragmatically managing legal risks and being an astute business executive are key components to the position.
- Will provide alternative solutions to minimize liability exposure while achieving business goals. In addition to excellent analytical and legal abilities.
- Evaluate impact of evolving legal and statutory regulations on the organizations current and proposed operations and investments and highlight the same.
- Develop and in-house counsel as well as an external counsel to address legal aspects of Joint Ventures
- Develop dedicated team for trademarks and copyrights to ensure risk mitigation; attend to trademark agreements, work closely with the marketing team to oversee branding and trademark protection.
- Frame policy norms for filing of trademarks and patents and coordinate with the intellectual property team for filing of patents.
- Examine legal requirements related to prospective M&Ss or partnerships as part of due diligence checklist. Preparation
- Review legal implications of proposals made by business development
- Direct team to put in place a compliance system for legal compliance; oversee communication of monthly compliance checklists and escalate to the relevant authorities in case of non-compliance
- Guide the organization in interpretation of laws regarding all aspects of business and corporate life and regulations applicable to the business
- Receive inputs through interaction with user departments on various legal issues including risk involved and their perception of legal risk
- Ensure legal compliance for all outbound investments and setting up subsidiaries of strides, joint ventures etc. like compliance with RBI norms, FEMA, other statutory requirements
- Scrutinize all proposals, contracts, tenders and agreements for legal loopholes and make changes.
- Interface with external customers and business partners on issues of legal interpretation and dispute
- Ensure effective management of all cases-filing of cases monitoring the progress of cases and defending cases and provide timely feedback to the senior Management
Establish a culture of compliance throughout the Business Unit through all forms of advice, communication, role modeling and training. Includes:
- Overseeing corporate governance compliance with law and policy
- Policy interpretation, development and training
- Implementation effective compliance training programs for policies owned by the Legal function.
