Head - Corporate Secretarial & Company Secretary - Telecom (10-15 yrs)

Role purpose:

The role, being in charge of secretarial work of material telecom subsidiary is a strategic role as requires management of Board, Committees and other important stakeholders. The role and Function of a Company Secretary being a statutory function needs to ensure adherence to the Corporate Secretariat and Corporate Governance practices across all Group of Companies. Plays a pivotal role in Company Law compliance, Corporate Restructuring Projects, Strategic Initiatives of Regulatory and Operational Business Requirements.

Key accountabilities and decision ownership

- Manage the Board and control the material subsidiary

- Advise and facilitate the senior management and the Board on Company law to enable them to take operational and strategic decisions

- Set up and ensure adherence to the corporate secretarial practices across various functions.

- Provide support to Corporate Restructuring and Strategic initiatives.

- Ensure Compliance of Company Law provisions

Core competencies::

- Expert technical knowledge on the Companies Act & Sound working knowledge on Corporate Laws.

- Simple and Effective Communication- Oral and Written.

- 10+ years of overall work experience of which 7+ years in listed company in Corporate Secretariat function.

- Ability to lead, work in team, handle extreme work pressure, crisis management and multi-tasking skills.

- Must have technical / professional qualifications:

- Member of Institute of Company Secretaries of India, New Delhi

- Added qualification in law.

Budget owned:

Cost incurred for Corporate Secretarial filings, statutory certifications, record keeping and corporate law advisory fees as may be required.
