We are looking for Company Secretary for one of our Delhi based NBFC client, kindly find below the details for the same :-

Position: Head-Company Secretary

Location : Delhi

Industry: NBFC

Experience: 10+ years

Responsibilities :-

Coordinating with Advocates and presentation of cases.

- All periodical & day by day compliances of NSE,BSE,MCX-SX,MCX, NCDEX, CDSL

- Registration as Depository Participant .

- Drafting of various Legal Agreements and Resolutions.

- Liaison and handled the matters related to Company Law Board i.e compounding of cases and shifting of registered office from one state to another.

- Handling the cases of Labour Laws.

- Liaisoning with Banks for Financing, Bank Guarantee.

- Creation, Modification, and Satisfaction of charges.

- Electronic filing (XBRL & Non-XBRL) of Balance sheet, Annual Return & all other e-forms under

Companies Act, to Registrar of Companies, Ministry of Corporate Affairs

- Preparation and filing of APR (Annual Performance Report), ODI Form (Overseas Direct Investment) to Bank in Compliance of RBI/FEMA regarding remittance of the fund to wholly owned subsidiary in U.S.A and Singapore.

- Incorporation of Public and Private Limited Company, Name change, Change of Registered office, Change of Object Clause, Increase of Authorized and Paid up Capital, change in directors (Under New Companies Act,2013), Right Issue and Bonus Issue.

- Drafting of Minutes of Board and General Body Meeting.

- Preparation & maintenance of statutory records and registers of the company as required under Companies Act,
