About the Company :

The company is India's Leading Non Banking Finance Company (NBFC) operating in Wholesale & SME Lending.

As part of the business activities,the company is predominantly focused into Asset Financing and Lending business. The Wholesale Lending Business segment provides specialized and holistic solutions to Indian corporates helping them build and grow their businesses with initial funding, mezzanine financing, acquisition financing etc. They focus on products in the structured credit space backed by adequate collaterals and cash flows to build a secured and quality wholesale lending portfolio.

Designation : Head - Company Secretary

Job Responsibilities :

Looking for a person to head the Company Secretarial role :

- Assist in organizing, preparing Agendas for & taking minutes of Board & General Meetings

- Maintaining statutory books including statutory books, including Register of Members, Directors etc.,

- Ensure compliance with the statutory requirements and regulations prescribed under the Companies Act, FEMA, FDI and all other applicable legislation

- Establish and drive implementation of Corporate Governance norms to ensure transparency in all operations

- Liaise and build relations with the Registrar of Companies, CLB, CLT, Depositories, SEBI, MCA, Stock Exchanges and other statutory authorities; Periodically provide returns/forms required by them

- Liaise and coordinate with the NSDL, CDSL, Share Transfer Agents and Registrars etc. of the Organization for transfer, transmission and dematerialization of securities

- Assist in advising members of the legal, governance, accounting & tax implication of proposed initiatives of Company

- Liaising with external Regulators & Advisors such as Lawyers & Auditors

- Minimize cost escalations due to fines/penalties levied due to non-adherence to Governance norms

- Experience of handling governance and compliance activities in the Banking and Financial Service Related Industry

Desired profile :

- Experience in Financial Services company and a listed company is desirable

- 10+ years of experience post qualification
