Company Secretary & Legal Head

- You will be a part of one of the top manufacturers of auto component sector, well known to all the global, regional & local companies operating in this business segment.

- The company consistently works towards growth and strives to be one among the top players of the industry.

The position is located in Mumbai.

What are my responsibilities :

- Planning and identifying the issues to be taken to the Board/Committee and finalise the agenda.

- Organising meeting of the Board of Directors, Audit Committee and Shareholders

- Ensuring smooth conduct of the Board Meeting

- Recording the decisions of the Board and circulate to Directors, CFO and Legal. Record the final minutes in the minute's book and obtain Chairman's signature within the stipulated period of time.

- Communicate the decisions of the Board to the Functional Heads and provide them necessary documentary assistance for implementation of the decisions.

- Thorough understanding of legal and commercial implications, Preparing Standard Contracts, & vetting contracts

- Handling legal cases as also defending various cases filed against the Company in various Courts in liaison with Solicitors and Advocates

- Preparing Leave & License agreements, Lease / Hire Purchase agreements.

What do I need to qualify for this job :

- Associate Member of the Institute of Company Secretaries of India (ACS) and also a law graduate (LL.B) and passed the Bar.

- 12-15 years of hands on experience in a manufacturing environment

- Exposure to Accounts/Finance/Taxation matters would be preferred

- Outstanding communication skills

- Knowledge/ Experience in JV agreements, provisions of Competition Act, Rent Control Laws, Arbitration, and IPR laws are desirable.
