Group Manager/Sr Leader - Legal (9-13 yrs)

Primary Function:

- Lawyer with primary responsibility providing Employee Relations legal advice and support and leadership responsibility for Regulatory Compliance, FCPA Compliance, Corporate Governance, and Litigation functions at India.

Principle Duties And Responsibilities:

ER-HR:

- Advise and counsel on Employee Relations/HR policies and applicable labour law;

- Partner with HR and other business leaders in resolving employee counselling and corrective action issues, and separation/severance issues;

- Provide training and guidance on handling employment issues, and key legal advice to guide HR and business action on these issues.

- Consult on changes to employment policies, including compensation/benefit policies; coordinate drafting and implementation of local policies with global employment policies and practices;

- Proactively track and advise on changes to Indian and local employment related legal developments in legislation or case law, and be prepared to brief senior leaders on the impact of same;

- Consult with and provide legal advice to internal Complaints Committee set up in accordance with the law on Prevention of Sexual Harassment.

Indian Regulatory Compliance:

- Maintain an updated inventory of laws applicable to India on an annual basis in partnership with external vendors

- Proactively keep track of changes in law and regulations applicable to India and publish the quarterly legal newsletter

- Conduct impact analysis of changes in laws and obligations and make sure such changes are updated in the compliance management tool

- Ensure continuous refinement of compliance plans/processes in collaboration with business owners

- Monitor compliance status and report to senior leadership

- Maintain compliance tool (administration, content update, trouble shooting, training) with support from the compliance operations team member

- Provide advice and counsel regarding interpretation of Indian laws

- Provide support in the development and implementation of Compliance training and awareness programs

- Participate in gathering industry knowledge and benchmarking to ensure a right balance of compliance and business.

- Manage and mentor the compliance operations team member

Anti-Bribery (FCPA) Compliance:

- Ensure remediation of external and internal audit/assurance observations through close collaboration with impacted business in India, and Legal and Assurance partners in India and Minneapolis

- Provide advice and counsel on interpretation of Indian and U.S. anti-bribery laws and applicable policy

- Provide training and awareness to team members and vendors

- Track compliance and implementation of processes in partnership with Assurance team

SEZ/STPI Advisory:

- Be the legal point of contact for all issues related to SEZ/STPI laws and regulations

- Research and provide advice on all legal issues relevant to this area

- Collaborate closely with the Finance compliance team on all relevant projects and initiatives

Company Secretarial:

- Ensure compliance with Indian Company Law requirements

- Create and implement governance best practices

- Partner with Minneapolis Corporate Governance team to ensure compliance with international corporate law compliances

- Maintain accurate records with support from the compliance operations team member

- Proactively identify any gaps in the India corporate governance, and develop and implement best practices such as needed. .

- Provide required advice and assistance on all investment issues

Litigation:

- Provide complete support managing any potential dispute or litigation with a third party including coordinating with outside counsels, making court appearances and interactions with law enforcement

- Maintain accurate litigation records with support from the compliance operations team member

Miscellaneous:

Provide assistance in any other function/role of the India Law team as required or as requested by the manager.

Job Requirements:

Minimum Requirements:

- Law degree from a recognized law school in India

- 9-13 years of experience working in a law firm or in-house with a focus on managing compliance and ER-HR issues

- Proficiency in MS Word, MS Excel, MS PowerPoint.

- Excellent written and verbal communication skills

- Ability to interact confidently with senior leadership at India and Minneapolis

- Ability to build trust and leadership with business partners and deal with disagreements in a constructive and successful manner

- Ability to react positively to change, ambiguity and uncertainty

- Ability to organize, coordinate and manage resources, time and people to achieve key goals and objectives

Desired Requirements Not Must :

- A qualified Company Secretary with 2-3 years’ experience practicing as a Company Secretary will be given preference.

- Ability to read and write Kannada is not mandatory but will be an advantage

- Knowledge of civil and criminal court procedures will be an advantage

- Deep expertise in labour law compliance will be an advantage

- Exposure to transactions and contracts review will be an advantage
