General Manager - Legal - Infra (12-20 yrs)

Reporting Manager : President CS & Legal

Key Responsibilities (Accountabilities of the role) :

Functional (Process/Technical/Operational) :

- Manage the legal operations of the group in line with the objectives of the business

- Handle all legal disputes and matters concerning all parties - government, regulatory authorities, statutory bodies, clients, operators, etc.

- Protect the interests of the company in all litigation related matters by external parties/ government, etc. by successful handling of court cases

- Ensue representation of the organization in all legal appearances and provide counsel to the legal consultants

- Manage transactional legal affairs activities related to customers, employees and suppliers

- Handle dispute cases with regulatory and legal authorities

- Advise subordinates on key aspects of legal operations and assist with the liaising with legal consultants and advisors

- Review progress of outstanding litigation and liaise with and manage external lawyers

- Review ongoing cases and advice management accordingly.

- Co-ordinate with senior counsels, law firms for litigation assistance

- Advising the company on negotiations, arbitration, dispute resolution, recoveries and assisting litigation matters

Legal documentation :

- Ensure timely completion of important legal documentation and communicate vital business inputs to the top management team on an ongoing basis

- Drafting of agreements, notices, contracts, complaints, plaints and all legal documents.

- Periodically review the procedures for filing, registering documents including forms, returns and applications on behalf of the company and revise them as per the latest corporate guidelines from time to time

- Ensure preparation of responses to legal notices and other documents in conjunction with the legal consultants

- Interpret and validate legal agreements/ contracts, prebid documents such as Non-Disclosure Agreements, MoU,shareholder agreements and joint venture documents to the best interest and benefit of the company

- Review statutory books and registers on an ongoing basis and examine discrepancies that can impact business

Ensure representation in legal matters/disputes :

- Ensure that the legal counsel and advocates are properly briefed on the case specifics

- Ensure regular follow ups and status updates on legislations particularly those that may affect the position of a company

Legal :

Review contracts - LOI, MOUs, joint venture dealings, agreements, offers, loan documents, sale purchase agreements, negotiable instruments, commercial agreements, corporate documents, as required by the company from time to time.

- Ensure compliance with Legal Metrology

- Ensure Competition law compliance Vetting of contracts, creating awareness

Skills (Behavioural/Leadership and functional attributes required to execute the role.) :

Functional & Behavioural Skills :

- Relationship management

- Effective communication skills

- Ability to provide independent advice (orally and in writing) to senior level management

- Proven ability to delicately solve sensitive matters.
