General Manager - Finance & Accounts - Auto

- To act as shareholders representative and to ensure that all rights and obligations of DIAL as per the joint venture agreements are protected.

- To monitor all JV finance functions to ensure adequate profitability. Support to achieve targeted profitability and evaluation of new business opportunities.

- Optimize return on investment (adequate dividends are received from profitable JVs).

- To ensure alignment of JV's strategy with DIAL / GMR Group's strategy. Facilitation of Corporate Strategy on acquisition / divestment including divestment of few JVs.

- Interaction with Senior Level of JV Management of the JVs. On requirement basis, interaction with nominee directors / representatives of the JV partners.

- Ensuring that Board Meetings and Committee Meetings are conducted as per Companies Act requirement. Review of the agenda in details and adequate inputs to the nominee directors of DIAL, highlighting concerns, if any, to senior management and nominee directors of DIAL.

- Ensuring implementation of adequate Corporate Governance (including charter of sub-committees of the Board, DOP, SOPs, Code of Conduct and Business Ethics etc.). Ensuring adequate policies and controls are in place.

- Ensuring that adequate fund is available for the planned growth. Support in obtaining credit facilities including interaction with banks.

- Work with DIAL legal team on regular basis to ensure closure of the agreements and finalizing direction in case of any dispute.

- Coordinate with internal direct and indirect tax team to ensure proper support to the JV team regarding tax matters including assessments.

- Interaction with AAI / MoCA on various queries regarding JVs, including drafting replies to address their queries. Handling auditors appointed by AAI / MoCA.

- Work hand in hand with Commercial Teams on regular basis to achieve targeted profitability and evaluation of new business opportunities.
