GM - Company Secretary (Female)

The incumbent would be required to perform following role and responsibilities for a growing telecom company based out of Bangalore which is into fibre net and broadband services.

Role Description

1. Preparation of Board Meeting Minutes, Annual General Meeting Minutes and EGM minutes, if any, and Compliances under Companies Act 2013, read with Rules.

2. Preparation of Annual Reports of group Companies, Annual Filing of Forms, Annual Returns, and filing of other forms.

3. Preserving and maintaining of all statutory records/ forms/documents and other relevant papers as required under Companies Act.

4. Ensuring Stock Exchange, SEBI compliances

5. Handling FEMA Compliances.

6. Providing all required information to the statutory auditors/ finance/legal /marketing/planning /services and other departments of the group to have the smooth function of the organization.

7. Keeping abreast of latest amendments to corporate and other laws. Analyze, interpret and evaluate the various corporate law requirements.

8. Understand and monitor the Company's operations, identify and interpret applicable laws and affect statutory compliance.

9. Evaluate transactions between associate and group companies in terms of compliance with corporate law requirements and assist in the documentation of these transactions.

10. Perform all incidental and ancillary functions to effect corporate law compliances

11. Any other roles & responsibilities assigned by the management from time to time

Desired Profile:

Experience: 12+ years

Education: CS

Should be registered with ICSI and have membership number

Conduct all statutory meetings stipulated during the year

Legal matters to be attended as and when required

Responsibility of overall Company Secretarial and Legal affairs of the Company
