The Opportunity is for the position of Head GC / Secretarial & Compliance with a tier 1 Law Firm Mumbai  Qualification: LLB and CS  Experience : Minimum 8 years & above  Designation : Head GC / Secretarial & Compliance  Work Coordination with - CFO, COO & Managing Partner  Function - Legal ( Preferred candidates from BFSI / Law firms)   Location - Mumbai - Lower Parel  Brief about the role :   Regulatory Affairs, Legal Affairs, Contract Management, Statutory Compliance Management & Reviews, Negotiation & Conciliation, IP Support, Enterprise Risk Management, Legal Research & Notes, Planning & Strategy, M&A Support, Govt. Relations.  - To ensure compliance with the Companies Act,SEBI act, rules & regulations, Competition laws etc   - Formation / Conversion / liquidation of entities i.e. Company, LLP, AIF, Trust etc.  - Prepare notices, agenda and minutes and conducting and handling of Board Meetings, General Meetings, Investment Committee Meetings, and Meetings of Trustees.  - Ensure compliance with corporate Laws, matters relating to allotment of shares, buy back of shares, capital reduction, related party transactions, corporate social responsibility, transfer of shares, split of shares, E-voting, secretarial standards, issue of debentures, Foreign Investments in India, export/ import regulations, overseas investment / remittances, Annual compliance etc.  - Advice on investment structure in relation to Corporate Laws   - To Review, analyze and prepare Code of Conduct, Policies pursuant as per Companies Act, 2013.   - Leading the Team and prepare monthly MIS for submission to management  - Due diligence for investments & dis investments, obtaining opinion & other related matters.  - Negotiate and discuss agreements with seniors, advocates, JV Partners & opposite party's representative and finalize the terms and conditions.  - Coordinating with govt bodies.  - Legal and Compliance Advisory.  - Drafting & negotiations  Contract Management : Vendor Contracting /services/software license agreement/HR/Manpower/ IT Agreement/IPR issues  - Bank Guarantees & Financial documentation  - Regulatory auditing and Compliance  - Employment laws and administration
