Reporting to: Senior Counsel and Legal Manager, South Asia  MAJOR RESPONSIBILITIES  1.	Provide analysis and counsel on legal, policy and environmental issues to include; proposed new products, protecting intellectual property, alliances and collaborations, financial structuring, production and plant operations, product distribution, outsourcing arrangements , workforce and business strategic planning.  2.	Effectively coordinate with other in-house Legal resources, external counsels and business management / functions for management of legal cases & seeking opinions.   3.	To strengthen business support and effectiveness around legal process, identify areas and work on process improvement on ongoing basis.   4.	Write, review and analyze various contracts, prepare legal pleadings, draft and file responses to legal notices , draft and review opinions and other legal documents.  5.	Lead “Right to Operate” process to ensure compliance in line with DuPont standards. Document process, establish roles and responsibilities for effective management of RTO process and issue periodic updates to business teams and Legal management.  6.	Understand and implement corporate guidelines and policies with regard to Legal Services and compliances.  7.	Coordinate and ensure compliance with all affairs related to Company Law. Organize board meeting / proactively work with business team to finalize items for discussions, ensue timely filings of returns / other documents.   8.	Contribute as a member of cross functional teams in supporting business goals / initiatives.  9.	Proactively and on a continuous basis gain knowledge of and provide guidance on new legislations impacting current and future business strategies / plans.  QUALIFICATIONS AND EXPERIENCE  Qualifications  - Must have degree qualification in Law from top tier University and be admitted as a legal practitioner in India  - Must have current Certificate of Practice from ICSI (or equivalent)  Must be Company Secretary certified.  Experience  - 5+ years of post qualification relevant legal and secretarial experience obtained in large growth oriented multi-national or top tier local company (experience with a United States parent company is an advantage, but not essential) .   - Experience with the legal and regulatory issues for a manufacturing and/or licensing entity   - A sound commercial and business orientation is essential.   - The candidate must have experience in negotiating, drafting and interpreting complex legal arrangements   - Exposure to structuring joint ventures, mergers & acquisitions, divestments, due diligence of contracts / agreements etc.  - It would be advantageous that the candidate’s experience includes:  - competition law  - intellectual property law  - large scale litigation and arbitration matters of significance  - rounded exposure to strategy, planning and business.   Key technical competencies sought:  -	Commercial and Company law  -	Knowledge of key compliance areas for a manufacturing and importing organization  -	Drafting and negotiating experience  PERSONAL ATTRIBUTES  - Must be willing to work with a hands on approach, strong oral and written communication skills but within well developed systems and IT supported environments   - Must have demonstrated strong leadership qualities and ability to build relationship across functional lines  - Have a process/systems oriented outlook with the ability to work under pressure and in structured timeframes  - Must possess a constructive attitude to build the business through positive suggestions / solutions and people development and empowerment as against an obstructionist / control centric outlook  - Key Personality Traits – Analytical and conceptual mind with business acumen, strong integrity led value system, stable, disciplined, systematic and mature character, positive leadership qualities, confident and energetic and a team player
