Dy Manager - Legal (Service contacts)

We are hiring for one of our clients - Nucleus Software, a banking software product based organization in Noida for Dy Manager - Legal (Service contacts) role.

Job Details: Legal professional with sound experience in contracting and Intellectual property protection in a software environment and experience in various geographies.

Function: Legal Designation: Dy Manager (Legal)

Relevant Experience: 5 years of relevant experience post qualification in an IT firm with international presence.

Reporting to: AVP (Legal)

Mandatory Qualification: Desirable: LLM (national law school) / CS

Key Requirements

1. Must be a law graduate from a reputed university and should have a minimum 5 yrs experience in Handling various categories of contracts (conducting negotiations, exchanging red-line documents, discussions, closure and execution):

- Client contracts: including inter-alia Software License and Master Services Agreement/ Master Subscription Agreements/ NDA/ Escrow (including relating to the Software as a service model).

- Channel Management contracts: relating to appointment of distributors/ channels, Joint Ventures, Partnerships, Global Alliances/ OEM etc.

- Employee’s or consultant’s engagement letters, Property leases, company leased accommodations etc.

- Other ancillary contracts

2. Should have knowledge of ensuring quality check for the drafts for legal department.

3. Should be confident enough to handle contracts independently and must have dealt with legal compliances

Critical Success Factors

- Exposure to International laws with specific relevance to IT industry

- Must have extremely good presentation, communication and interpersonal skills.

- Ability to handle all Legal aspects of referred matters and provide management reports.

Primary focus areas of the role are:

1. Identifying contractual, commercial and operational risks and exposures in the contracts and effectively negotiate to mitigate such risks.

2. Active discussions and engagement with all internal and external stakeholders, including external counsels to structure, prepare, negotiate and finalize agreements, letters of intent, MOUs etc.

3. Providing legal support to various functional units of the company.

4. Ensure compliance of legal processes and periodic review/ updation of best practices in the existing processes/ templates.

5. To suitably represent the company in various legal matters and work with internal and external stakeholders (including external counsels) to protect the interest of the company in case of any legal dispute and/ or to initiate legal actions to protect the interest of the Company. be liable towards any unauthorized communication or its consequences.
