Role summary:

He/she will manage the compliance and secretarial matters and support the business functions in execution and achieving the company goals. He/she will manage a strong, dynamic function, able to support the business towards achieving Dharma Life's 2020 vision.

Primary Responsibility :

- Ensure the high level of corporate governance by handling entire compliance and secretarial related matter of GIPL including foreign subsidiaries.

- Incorporation of new companies (Indian and overseas), drafting of Articles of Association thereof, various policies including Corporate Governance Policy, terms of references of Board Committees, Joint Venture Agreements and maintenance of statutory registers.

- Compliances related to holding and conducting various Board / Board Committee meetings and general meetings of subsidiary, and associate; necessary filing before Ministry of Corporate Affairs.

- Conducting internal Secretarial Audit of subsidiary / associate companies of GIPL preparing Secretarial Audit Report on the findings of the audit.

- Handling of various matters related to the Advisory Council meeting and Executive Committee Meetings including preparation of minutes of such meetings, obtaining necessary approvals as required under the Corporate Governance Policy of the Company, liaising with Divisions etc.

- Preparing and finalizing various agreements (transporter / warehousing / Non-Disclosure / Service / Consultancy / Research Agreement) entered by the Company and Power of Attorney (POA) considering the legal aspect and implication on the Company and act as custodian of such agreements and POAs.

- Keeping track of various amendments and notifications on corporate laws and rules made thereunder

- Entrusted with the responsibilities of research work related to the, Company law, Food and Safety Standards Act, RBI, etc.

- Preparing summary of various judicial pronouncements on a quarterly basis for publication on the Chartered Secretary and other ICSI magazines.

- Assistance in conducting the Board Meetings and Annual General Meetings of the Company and its various Subsidiary / Associate Companies by preparing the agenda, minutes, etc.

- Keeping track of several notifications, circulars and clarifications issued by various Government Departments and analyzing their implications in general and for the Company, in specific.

- Assistance in preparation of the yearly & five yearly Budget of the Secretarial Department with the various assumptions.

- Employee Relation - pension disbursal, settlement of medical claims and other amenities.

- Preparation of monthly reports. Organization annual budget review

Desired Skills, Attributes & Experience:

Qualification:

Mandatory: Qualified Company Secretary

Desired: LLB

- Minimum 5 years of secretarial experience

- Excellent minute taking ability required.

- Attention to detail and proofing skills.

- Excellent communication skills with the ability to build relationships across the business, operations, partnerships and at all levels of management up to and including Board of Director level.

- Ability to make presentations to the boards either in person or by conference phone - speaks clearly and with confidence.

- Ability to draft clear and precise reports for submission to the Boards and Committees.

- Thorough understanding of processes, controls and Indian regulatory environment

- Ambition, organization, drive, intellect, problem solving, and respect for others.

- Deep experience in managing managers, delivering work directly, building diverse teams, empowering team-members, and driving toward results and accountability. Ability to build strong relationships, to forge and maintain alliances.
