BASE LOCATION - MUMBAI ( HQ )

OFFERED CTC - 13 lac to 17 lac p.a ( approx ) + incentives ; depending upon current CTC.

LEVEL : Deputy Chief Manager / Chief Manager

INDICATIVE JOB PROFILE :

Accountability Supporting Actions :

- Advising Board and Management on Corporate Laws, IRDA regulations and Corporate Governance Guidelines, Keeping Board and Management updated on the applicability of the provisions of Corporate Laws, IRDA Regulation and Corporate Governance Guidelines

- Monitoring changes in relevant legislation, regulations affecting the Company, preparing suitable MIS and taking appropriate action, if required;

Plan & facilitate all activities for initiation, conduct & conclusion of Board & Sub-Committee meetings so as to ensure compliance of applicable statutes and by adopting best Board & Corporate Governance practices

1. Organizing Board and Board Committee meetings in an efficient and professional manner, collating agenda items, preparation and finalising of minutes and tracking the actionables to ensure that Board's decisions & directions are properly carried out and communicated

2. Formulate and Implement standard operating procedures and standard templates for secretarial practices to ensure continuity and clarity in secretarial function

To act as custodian of Corporate Governance and to ensure compliance of corporate laws, IRDA regulations and Company's Investment Code of Conduct, Ensuring compliance with corporate laws, IRDA regulations (corporate governance guidelines) and acting as Compliance Officer to ensure strict adherence to Company's investment code and IRDA Corporate Governance Guidelines.

Interacting with ROC, IRDA and other Government and Regulatory agencies on need basis

Administer the working of various employees - benefit Trusts (PF/SA/GTY) to ensure Compliance of various statutory provisions applicable to these trusts

1. Advising Board of Trustees on issues related to PF/SA/GTY as per the provisions of the respective Acts and rules thereof

2. Conduct meetings of the Board of Trustees of Provident Fund, Superannuation and Gratuity Trusts finalising Minutes and actionables

3. Continuous improvement in the service levels to the employees and ex-employees of the Company

4. Formulate strategies to give maximum benefit to Employees under the Employee benefit Trusts

Assess and recommend the best board practices and corporate governance standards, Assess best board practices prevailing in the industry as well as the holding company and adopt the same for client.

- Formulating and recommending a corporate governance road map to ensure adoption of non-mandatory provisions to the maximum possible extent.

- Monitoring the adherence to the best practices/ standards subsequent to their adoption by the Company. Create, retain and develop a good team, Mentor, supervise, coach and well as provide direction to sub-ordinates.

Identifying the training needs of the team members and encouraging them to take higher responsibilities.

INDUSTRY : BFSI ( All ) / ANY OTHER NON LISTED Company from non BFSI domain into similar profile.
