Mergers & Acquisitions (M&A)

Deloitte's - Mergers & Acquisitions- (M&A) service line guides M&A initiatives for companies to help expand and accelerate revenue and cost synergies, reduce transaction risk and retain key talent even as they make structural changes to their business, operating model or capital model.

Typical capabilities of an M&A practitioner include the following:

- Developing an M&A strategy

- Providing buy-side and sell-side advisory support, screening targets and undertaking due diligence

- Optimizing the operating model and organization design

- Targeting synergies, developing a roadmap to help realize those synergies and measuring synergies

- Preparing for Day-One/ Day-Two readiness and executing the plan

- Developing communications for culture and change management

- Integrating supply chains, distribution networks, R&D, finance, procurement, real estate and innovation

- Aligning customers, sales, marketing and back-offices

- Developing carve-out financial statements

- Formulating organizational separation and re-alignment strategies

- Optimizing transition services agreement (TSA)

- Identifying and eliminating stranded costs

Key job responsibilities (including but not limited to)

Sr. Consultant:

- Participate in engagement management including:

Own and manage specific work threads

Develop plans for components of engagements

Coordinate activities between different work threads

Identify and help manage changes in scope

Manage and mentor junior resources

Develop and maintain working relationships with client counterparts

- Develop client deliverables and documentation:

Identify and select the most relevant set of tools/techniques to meet client requirements such as business case development, financial modeling and analysis, etc.

Analyze and interpret project data, draw conclusions and develop recommendations based on the result of the specific outputs

Use analytics to build strategic insights for the client

Synthesize and present insights and recommendations

Strive to improve deliverable quality through verification and validation of results

- Conduct client interviews, participate in workshops and training sessions, and present recommendations

Qualifications

Candidates are expected to have function specific relevant experience and qualifications as listed below:

- Consulting Background

- M&A advisory experience

- Commercial/ Operational due diligence experience

- Prior investment banking experience on the sell/ buy side

- Specific functional knowledge in areas of Finance, IT, Contracts management, procurement etc

Generic qualifications are listed below:

- Strong oral and written communication and presentation skills

- Ability to work independently with minimal supervision

- Strong analytical and problem solving skills

- Leadership and team-building skills

- Working knowledge of MS Office applications (Excel, Word, PowerPoint, Outlook) is a must

- Willingness to travel internationally (primarily US) 60% -100% of the times

- Active H1B visa from previous employer or Green Card holders are preferred

- 3+ years of relevant experience is preferred for Consultant and 6+ years for Sr. Consultant

- MBA, MS or PhD from a premier school in India or abroad is preferred

- Undergraduate degree in engineering, science or commerce is preferred
