We have an urgent opening as a Company Secretary with one of the reputed Manufacturing Company (Ranked Fifteenth Globally)

Job Purpose:

- Drive adherence to secretarial and statutory compliances of the business with the objective of meeting all applicable compliance and legal formalities within the company guidelines and statutory norms.

Key Result Areas (KRA's) / Measures Of Performance (MOP's):

- Schedule, set agenda for and undertake communication for Board Meetings and Shareholders Meetings

- Maintain statutory registers.

- Filings, applications and documents required to the Registrar of Companies, Central Government and/or the Ministry of Corporate Affairs.

- Coordinate with all departmental heads for SOX audit and internal audit activities

Corporate Law affairs:

- Overview of the Trademark/brand name of the Company.

- To maintain current knowledge of legal issues of importance to the Company.

- Review all legal and regulatory developments affecting the Company's operations and make sure the management is properly informed of the same.

- Drafting, negotiating and vetting of variety of Contracts including Sales network agreements, International trade contracts, Settlement Agreements, Lease Deeds, Dealerships, Memorandum of Understanding, disclosure, Affidavits, Bank Guarantees, Indemnities, Attorneys and various other legal documents as required for the company's various businesses from time to time.

- Responsible for research & discussion on law & regulation affecting the Company, including corporate affairs, compliance programs, trademark protection, sales channels, international agreements, important legal documents and agreements, and Company policies and procedures.
