Company Secretary - Media (5-8 yrs)

A Listed Company, having its Office at New Delhi is looking for a Company Secretary.

Very big name in Media Industry.

Qualification :

ACS/FCS - Member of the Institute of Company Secretaries of India. The candidates having degree in Law shall be preferred.

Experience :

having post qualification 5-8 years experience. At least 3 years must be in a middle/large size listed Company.

Location: New Delhi

Job Description:

- Ensuring all Statutory Compliances under Companies Act, 1956 and applicable Corporate Laws, SEBI Rules and Regulations, Listing Agreement.

- Conducting Board Meetings & Shareholders, Meetings and preparation of Agenda, Notices and Minutes of Board Meeting and Shareholder¡¦s Meeting etc.

- Liaisoning with the Reserve Bank of India, Registrar of Companies, Regional Director, Ministry of Corporate Affairs, Stock Exchange Board of India, Stock Exchanges and other statutory authorities.

- Liaising with the consultants, advisers etc. of the Company such as lawyers and statutory auditors, internal auditors etc.

- Incorporation of Companies including the Companies under Section 25 of the Companies Act, 1956.

- Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action.

- Developing and overseeing the systems that ensure the Company complies with all applicable legal and statutory requirements.

- Maintenance of Statutory Records & Registers under the Companies Act and other Corporate Laws.

- Drafting and vetting of Agreements, Memorandum of Understandings, Memorandum and Articles of Association of the Companies etc.

- Ensuring the compliances of RBI Act, 1934, NBFC Regulations etc. in respect of Non-Banking Financial Companies.

- Handling the FEMA Matters.

- Computer savvy and fully proficient on MS Office, MS excel and Power Point tools.
