Company Secretary & Legal Counsel - BFSI (5-8 yrs)
Company Secretary and Legal Counsel is responsible for :
- Strategize and execute corporate actions viz. mergers, acquisitions, joint ventures, creation of entity, investments, loans, equity infusions etc.
- Maintain compliance standards, systems, procedures and training mechanisms tailored to the company's business needs and reports to the senior management and BoD to ensure continuous improvement in compliance levels.
- Ensure compliance of all applicable compliances pertaining to Company Law and Foreign Exchange Laws.
- Conduct Board Meetings and Internal and statutory committee meetings as per Company requirements.
- Complete legal review of contracts, legal documents as required.
Compliance Program : Develop, maintain and refresh the company's compliance program/ framework to ensure all key risks are objectively assessed & dealt with.
Independent reviews and reporting : Performs independent reviews across various verticals of compliance viz. statutory, regulatory, product, legal, etc and submits a report for management review. Highlights the level of compliance in the entity.
- Establish and maintain good corporate governance standards both at the Board level and one level below the board
- Corporate Law Advise and execution of various corporate actions/ transactions viz. investments, loans, dividends, mergers, takeovers, joint ventures etc.
- Identify risks for the Company and preparation of mitigation plan for risks pertaining to non-compliance of indian regulations, licensing requirements and CoE violations.
- Take on legal department projects related to contracts, contract management & commercial transactions
