Company Secretary - BPO/IT/KPO (12-15 yrs)

Role : Company Secretary

Location : Bangalore

Reporting to : CFO

Role Overview :

Company secretaries are responsible for ensuring that an organization complies with standard financial and legal practice and maintains high standards of corporate governance.

Key Responsibilities :

- To ensure compliance with respect to Companies Act 2013 and other applicable laws for To take care of all secretarial & ministerial matters.

- Seeking necessary approvals from CLB, Regional Director or ROC on relevant business matters.

- Advising Board of Directors on all Company Law related matters like Related Party Transactions, Managerial Remuneration, Corporate restructuring in particular to Private Equity and other strategic initiatives / projects.

- Coordinating with statutory auditors and internal auditors for smooth audit function. Providing insight on new developments in regulatory framework and new standards of corporate governance.

- Preparation of Notices, Agenda & Minutes of various Committees, Board & General meetings.

- Maintaining various statutory registers and filing of returns and e forms with ROC as required under Companies Act 2013 including transition from previous Act.

- Drafting of Board, Audit Committee, Ethics Committee papers including Agenda, Minutes, resolutions, presentations

- Co-ordinate and implement best practices relating to company secretarial matters including convening of Board and Committee Meetings

- Implementation of Board, Audit Committee and other committee decisions

- Maintenance of statutory registers and other records under Companies Act, 1956

- Preparation and filing of returns and e-forms

- Shareholders Agreement, Subscription Agreement - knowledge of related legal provisions, due diligence and documentation

- IPO - knowledge of law, practice and procedure

- ESOP - knowledge of law, practice and procedure

- Mergers and amalgamations - knowledge of law, practice and procedure

Educational Qualifications : Qualified Company Secretary

Experience :

- 12 - 15 yrs post qualification experience in managing the Secretarial function independently.

- Excellent verbal and written communication skills.

- Ability to multi task in a fast paced environment, prioritize tasks, and consistently meet deadlines.
