Purpose:   The key purpose of the position is to assist the Asstt CS & Sr Manager Compliance in relation to corporate secretarial function and ensuring compliance to the Corporate governance Framework.   Main Priorities :   Company Secretarial :   - Understand the governance framework of the company and the requirements of the JVA and ensure corporate governance.  - Understand the business issues and items that require approval of the Board and the shareholders and liaise with the business to collate the necessary inputs for the Board.  - Preparation of agenda and minutes of meetings of the board of directors, audit committee, investment committee and shareholders. Assist the Company Secretary in advising the Board of Directors.  - Liaise with the business for implementation of the directions and decisions of the Board.  - Ensure statutory filings with the registrar of companies, IRDA and RBI and maintenance of statutory records.  - Proactively resolve any exceptions and non-compliance and highlight the potential issues.  Relationships :  Internal :   - Asstt CS and Senior Manager-Compliance  - Director - Legal & Compliance  - Employees in other departments  External :   - Regulator, Advocates, Legal Consultants  Key Performance Indicators :  - Ensure full adherence to the Governance Framework, terms of the reference of various committee and policies.  - Timely preparation of agenda and minutes of the meetings of the Board and its committees.  - Timely filing of all statutory returns and update statutory records  Qualifications :  Company Secretary preferably with LLB  Skills/ knowledge :  - Excellent conceptual and analytical skills - Should possess ability to understand legal, business issues and processes.   - Should have strong ability to interpret laws and regulations and apply the same to complex issues.  - Understanding of insurance/ financial service industry and regulations.  - Excellent communication skills - Should possess the ability to articulate thoughts precisely and concisely  - Sound knowledge of IRDA and SEBI Regulations.  - Preference will be given to candidates having knowledge and experience in handling IPOs and listing requirements.  Experience :  - 4-5 years of relevant work experience, of which at least 2 years of experience should be in the financial services sector, handing of IPOs and listing requirements.   Competencies :  Decision Making :   - Considers all the interdependencies, impact and issues that will be involved in the execution of the plans   Integrity :   - Results oriented/ Making things happen   - Works to a clear set of priorities, adjusts for opportunities and obstacles as necessary  - Consistently delivers on promises whilst respecting individual needs
