Qualification :   - Qualified CS & Law graduate with 6/7 years of secretarial and legal experience.  - Independently handled Board Meeting arrangements and attended Board Meeting(s) as company secretary  The job profile would include the following:  Secretarial:  - A designated Company Secretary and independently handing all secretarial function(s) of 6 to 7 companies within the group;  - Audit/Board Meeting arrangement(s) and independently attending Audit & Board Meetings.  - Compliance with all provision of Companies Act, 2013 and rules made there under  - Maintenance of related parties and taking adequate approval wherever required  - Handling all internal, statutory auditors or regulatory inspection(s) concerning secretarial matters  - Maintenance of all legal and secretarial records of the group, including offshore subsidiaries  - Compliance with ESOP related documentation and compliances  - Handling internal re-structuring, mergers, transfer(s) etc  - Filing of all MCA forms within statutory time period  Legal:  - Review of all documents, forms and agreements concerning the business  - Review or preparation of service level agreement, investment advisory agreements, distribution agreements, escrow agreements etc.  - Review or preparation of lease agreements, shared service agreements  - Monitoring compliance with various laws applicable to company (like labour laws, provident fund laws, etc)  - Process control of documents required for nomination, transmission, transfer or other non financial transactions, concerning products  - Co-ordinate with Investor Grievance department for handling of any investor complaints from SEBI or otherwise;  - Making of necessary plaints / vakalatnamas concerning any legal dispute or litigation;  - Preparation and registration of trust deeds;
