Company Secretary - BFSI (10-20 yrs)

We have an urgent opening as a "Company Secretary" for one of the renowned group for "Chennai" location

Qualification: Qualified CS

Experience: 10 to 20 years

CTC: Best in the Industry

Key Responsibilities:

- Drafting and Vetting of legal documents like Letter of Intent, MOU, Service Agreement, Non- Disclosure Agreements, Loan Agreements, Consortium Agreements, Assignment / Securitisation Agreements, Term sheets, engagement letters, investment / shareholders agreement, Power of Attorney, loan documents.

- Advising the management on compliance aspects of various agreements entered / to be entered into by the company.

- Interfacing and coordinating with the external counsels / advisors for time to time in relation to compliance related cases and queries.

- Drafting agenda, notices, minutes and related secretarial annexures for all kinds of statutory meetings.

- Maintaining statutory records & registers, preparing and filing necessary documents and annual returns as required under Companies Act, 2013 and other statutory regulations

- Well versed with the provisions of the Companies Act, 2013, corporate laws and depositories / broking related bye-laws and other applicable rules and regulations

- Filings of various forms as per the provisions of Companies Act, 1956 and Companies Act, 2013.

Advising companies on Compliance of legal and procedural aspects, particularly under:

- SEBI Act

- Securities Contracts (Regulation) Act, Rules and Regulations

- SEBI Regulations and Guidelines

- Listing Agreement

- Competition Act, 2012

- Foreign Exchange Management Act, Rules and Regulations

- Depositories Act, 1996

- Prevention of Money Laundering Act, 2002
