JOB SUMMARY  - This position is responsible to assist in ensuring compliance to various provisions of Co. Law and secretarial practices, assist in conducting Board & Committee Meetings  - Assist in regulatory compliance and liaison with IRDA .  KEY RESPONSIBILITIES  Secretarial - 50%   - Working closely with the designated CS & Committee Secretaries, to ensure quality and compliant material for all Committees  - Revisiting all Committee Agenda and Minutes on account of new Secretarial standards   - Study and research on complex secretarial requirements .  - Prepare committees, board agendas and board programme etc.  - Ensuring Compliance with New Co. Act, new regulations, IRDA requirements, Secretarial standards   - Supporting in complex transactions like buy back, acquisitions, etc   - Handling external auditors, secretarial auditors and ensuring zero non-compliances  Compliance - 50%   - Assist in Implement and strengthen robust Regulatory Compliance Framework.  - Assist in Liaising with IRDA, Life council etc.  - Advising business on IRDA regulations   - Assist in implementation / interpretation of Regulatory Requirement   - Assist Handling IRDA correspondence.   - Compliance Policy Formulation & Ethics, Culture & Awareness initiatives   Measures of Success  - Ensure 100% Compliance to provision of Co. Act and IRDA corporate Governance   - Effective and quality Board and Committee Meeting agenda and Minutes  - Audit report/rating of 3 and above, no repeat observation and no adverse view from the Regulator and/or Internal audit reviews.   - Timely implementation of regulatory requirement  - Timely and quality advise to Business on interpretation matters  Key Relationships (Internal /External)  SLT and other leaders of various functions within the Company  External: IRDA, FIU, Peer Insurers, RoC  Key competencies/skills required  - Domain knowledge on Co. Law  - Communication skills & Project management expertise  - Collaboration with departments  - Ability to understand Insurance laws  Desired qualification and experience  - Prior experience in Corp Secretarial Matters   - ACS with preferred LLB / CA qualification  - 10-12 years of relevant experience
