Capgemini - In-house Attorney/Legal Counsel (2-8 yrs)

- Candidates should have 4+ years of experience in a leading law firm or in-house legal department.

- The attorney will be involved in advising on a broad range of corporate and commercial matters.

- This position requires the ability to analyze and draft large and complex contracts, as well as, reviewing terms and conditions associated with ongoing business transactions.

- The attorney would be expected to work directly with attorneys and the business team located in the United States, to provide counseling on an as needed basis and be available during US business hours.

- Experience with IT contract negotiation and US law preferred

Applications are welcomed from lawyers with either a good existing knowledge of IT law or the desire to move into this area plus hands-on experience in client facing transactions, whether in-house or in private practice.

Capgemini's Legal Team

Capgemini's global legal team has over 130 in-house lawyers. The Australian team currently consists of the Head of Legal Affairs and Ethics & Compliance Officer, three lawyers and one PA, based in Sydney and Melbourne. The Australian team advises the Australian and New Zealand business and works closely with Capgemini lawyers working for the parent company based in Paris and (from time to time) with other lawyers around the world on particular projects and global deals.

Your responsibilities will include:

- Providing legal advice and support in drafting and negotiating commercial contracts, including Master Services Agreements, Application Development/Management Agreements, Consultancy Agreements, Outsourcing Agreements (including Business Process Outsourcing), Framework Agreements, sub-contracts, public sector deals and procurement;

- Ad hoc legal advice relating to the general operations of the company;

- Involvement with corporate and paralegal matters and assisting with compliance with legal requirements of the company (shareholders meetings, board meetings, publications, etc.)

- Assisting with the legal sign-off on deals (including Australian & Group legal sign-off processes)

- Development and presentation of legal training courses

- Assisting with the keeping the company contracts and guidelines/policies up to date and

- Working as part of the global legal team on global initiatives.

Candidate Profile:

- You have a university degree in Law with excellent academic results.

- You have 4+ years of experience, preferably as a lawyer in a leading law firm or in-house IT experience. Exposure to drafting and negotiating IT agreements are key assets;

- You are a team player and demonstrate a good project management approach combined with good communication skills;

- You have a very good business understanding and are willing to learn and evolve in an entrepreneurial and result oriented environment;

- You are able to understand legal matters and legal issues, you are accurate and extremely organised, and you are willing to learn.

- This position requires the ability to analyze and draft large and complex contracts, drafting legal documents with a high attention to detail as well as reviewing terms and conditions associated with ongoing business transactions.

- You should possess excellent legal and interpersonal skills, the aptitude to manage multiple tasks (prioritizing as necessary), an ability to work independently and a strong work ethic.

- You will be expected to work directly with lawyers and the business team located in Australia and to be available during Australian business hours.

- Experience with IT contract negotiation and Australian (or other common-law) jurisdictions preferred.
