The role will support the business and functions in all legal matters.   Key Responsibilities  - Advise management on legal issues relating to contracts, general commercial and contractual negotiations, corporate governance and general company business  - Draft, review and negotiate rental, lease, trademarks, customer and vendor contracts  - Engage and manage outside legal counsel, acting as liaison between Biba and outside legal counsel  - Handle legal inquiries and respond as appropriate  - Provide legal support in areas of regulatory matters, statutory compliance, labor and employment compliance   - Manage litigation, in conjunction with outside counsel, determining corporate exposure and developing company response strategy  - Provide legal counseling in areas such intellectual property, copyrights, trade marks etc  - Should have Bar-council license.  - Perform additional duties as specified by supervisor  To draft, vet and advise for the following activities :   - Drafting and vetting of all kind of agreements, contract, legal papers as and when require by the Org.;  - Draft & vetting of pleadings require for judicial and/or quasi judicial cases, statutory notices and private party's notice and reply thereto;   - Assist the other employee in Legal Department in Procurement of applicable licenses, registration, permission,etc for Org..  - Provide inputs towards Legal strategic planning  To appear & handle legal cases on behalf of the Company-BIBA before following Courts & tribunals.   - Appear in any court in the Territory to defend or prosecute any case as may be assigned to him and also appear, if so required on behalf of Org., before the High Court, Subordinate Courts, Tribunals, Revenue authorities or other statutory bodies for all matters and cases in which or any of its officers/ employees or directors is interested or is a party or as may be required from time to time;   - Directly and personally deal with all the matters and cases and will not entrust the same to other Advocates or his Junior Advocates unless agreed to by the Company-Org.   - Keep Org. informed of the important developments in all the matters entrusted to the counsel from time to time particularly with regard to the drafting, filing of papers, registration of documents, dates of hearing or the case and its outcome, supplying copies of the Judgments etc.   - Render the detailed account of the Advances received from time to time to the Company for proper adjustment of the same against counsel fee bills.   - Perform such other duties of legal nature, which may be assigned to him by the company.   - Give legal advice to the Company on such civil, criminal, etc. and other matters arising in the course of the business of the Company as are referred to the Counsel by Org. including, examination and settling of drafts of legal nature and examination of documents, agreements and deeds,   - Draft applications, petitions etc. to be filed in courts of law or before statutory authorities.   - If required, render all assistance to the law officers, special or senior Counsel, who may be engaged in a particular case before the Supreme Court, High Courts, Tribunal, etc.;  - Keep the Company informed of the important developments in the case from time to time particularly with regard to drafting, filing of papers, dates of hearing of the case, supplying copies of judgment etc.;   - Furnish to the Company monthly/periodical statements/reports about the cases represented by him before High Court or District Court any other authority or any other Legal work done by the Counsel for the company.   Due Diligence of property title & records in consultation with nominated Counsel/consultant in this regard, with local Authority & Registration of Lease /conveyance deeds.  Due Diligence : Due diligence shall mean and include search of the title documents from the official record room for the last seven/twelve years AND examination of the title and related documents, as regards their authenticity, proper execution, registration, stamp duty, court fee, attestation etc. It shall mean and include an opinion regarding: The title to the Property, Encumbrances, mutation, Litigation, etc. and Compliances in respect to Property with applicable laws.   Registration : Shall mean and include printing/ typing the document required to be registered, obtaining stamp paper, presenting it to the registering authority for registration, obtaining the registered document from the registering authority and delivering the same to the Legal Head or any person nominated by him in this regard.
