A. Organization Profile & Context of Role

B. Purpose of the Role
- Broadly the Role will be to monitor and ensure on a day to day basis and at an operational level Compliances of Companies Act, 2013, ROC Filings, Secretarial Standards, SEBI Listing Regulations, 2015, SEBI Act. etc. of SREI and also its Subsidiaries and Group Companies.
- Handling at operational level Board Meeting & Board Sub-Committee Meetings of SREI IPCL subsidiaries & Group Companies.
C. Broad Roles and Responsibilities
- Responsible for overseeing and ensuring that Statutory Compliance of Listing Regulations, SEBI Regulations, ROC Compliance, Secretarial Standard Compliance, Other Secretarial activities etc. are done at the operational level.
- Responsible for overseeing and ensuring SREI Subsidiaries & Gr. Cos. Statutory & Secretarial Standard Compliances.
- To work closely with me on various Strategic issues;
- To be responsible for ensuring timely preparation of Agenda, Notice and Draft Minutes of SREI BRNL Board and its Board Committee Meetings
- To be responsible for ensuring timely preparation of Agenda, Notice and Draft Minutes of SREI IPCL Subsidiaries & Group Companies Board and its Board Committee Meetings
- To handle Secretarial Audit, Corporate Governance Audit, Stat. Audit etc. of SREI IPCL.
- To co-ordinate with various departments, gather inputs and ensure timely preparation of Annual Report of SREI BRNL.
- To keep track of Action Taken Report (ATR) percolating out of Board & its Committee Meetings of IPCL and its Subsidiaries & Gr. Cos.
- To prepare and maintain a monthly Secretarial MIS of SREI IPCL, it's subsidiaries & Group Companies.
D. Key Competencies
- Qualified Company Secretary (preferably with LLB qualification) with at least 10-15 years of post - qualification experience with at least last 5 - 7 years experience in a Listed Company having Group Dynamics;
- Candidate should either be a KMP in mid-size listed company or second in command in large listed company.
- Candidate should have handled physical Board Meetings with diversified Board, Board Committee Meetings, AGMs, EGMs, Preferential Allotment of Shares, Rights Issue, Bonus Issue, Payment of Dividend, Issue & allotment of Debt Instruments etc.;
- Candidate should have working knowledge in dealing with Registrar and Share transfer Agent & public shareholders;
- Candidate should be well accustomed and sound working knowledge of Companies Act, 2013, Secretarial Standards, SEBI Listing and Obligations & Disclosure Regulations, 2015;
- Candidate should be proficient in English speaking and having good command in drafting with proficiency in Computers;
E. Ideal Candidate Profile:
Qualification Qualified Company Secretary (preferably with LLB qualification)

Annual CTC Range (in INR) Comparable with the best in the industry
