Role Overview :   The role holder will be responsible for providing legal support for the Channels and local and international distribution related work.   Pre-requisites for the Role :   It is vital for the incumbent to evaluate the role and the pre-requisites of the role before considering this opportunity :  1. Ambitious   Scope of Work and Responsibilities  Drafting and negotiation of contracts; Regulatory Work   Content Licensing : The full cycle of management of rights from the time of drafting & reviewing of content acquisition agreement, negotiation of contracts with counter parties lawyers, value addition in commercials through drafting & negotiations, management of contractual compliances, liaising with the various departments to ensure contractual compliances are made. Incumbent is expected to have good knowledge of content licensing.   Distribution of Channels and Regulatory Work: Incumbent must have relevant experience in handling legal work (drafting and negotiations) associated with the distribution of the channels in India and outside India. Knowledge of the regulatory regime of TRAI and OFCOM will be given weightage.   Channel business support : Contracts pertaining to production of programs, talent hiring, Marketing, Digital Marketing OAP, Programming, IT, Logistics, Ad Sales, contest terms and conditions, privacy policies, terms of usage of websites and likewise; drafting and negotiating low to medium complexity contracts for the foregoing aspects of the channel business by providing legal inputs and rendering services through the contractual process.  Databases: Extraction of rights for the purpose of ingestion of such rights in the rights software for effective maintenance of records, scheduling of programs on the channels and proper exploitation of such rights.  Miscellaneous: To draft contracts on as required basis for miscellaneous transactions of the company.  Engaging, learning and winning the confidence for handling medium to high complexity contracts.   - To provide contracting and legal support for new initiatives and special projects of the company   - To minimize risk and proactively protecting the company's interest and assets   - Support existing processes to manage the Intellectual property rights of the company in various databases   - To provide litigation support and to manage outside counsel optimally in a focused, efficient and effective manner.   - Has day to day responsibility for drafting accurate contracts, negotiating them with third parties on his/her own and concluding them in tight deadlines.   - Providing accurate, effective and timely legal advice, analysis and support on commercial and contractual matters taking into account the commercial environment   - Drafts and negotiates any relevant agreements and any other relevant legal documents relating to commercial and contractual matters   - To act as the day to day interface between the company and external counsel, briefing external counsels and attending hearings in the courts and other regulatory forums and government departments   - Co-ordinates with intra departments of the company in respect of commercial and contractual matters where appropriate to ensure that all relevant legal issues are identified and appropriate support is provided   - Understand tax and regulatory structure of the company and be able to safeguard the company from exposure in the contracts.   - Assists in the development of best practice with regards to the legal aspects of commercial and contractual matters entrusted   - Influences and assists in discussions between clients and other functions to ensure the best legal solution to meet commercial objectives and to encourage best practices   - Provides regular reports and updates to line manager and to clients, as appropriate   Key Challenges in the role :   Media and Entertainment is a dynamic industry where scores of daily judgments may impact television and distribution business. It is expected that the incumbent will have high energy levels to absorb as much as possible the daily learning in the legal fields governing media & entertainment, positively respond to stress levels which are common to legal profession, and have an attitude and confidence (including command over spoken and written English) that compliments his/her legal work.  Media and Entertainment Industry is now heavily regulated with various legislations governing almost every aspect of it which makes doing business and compliance a real challenge. Incumbent should be able to keep himself/herself updated with new developments relating to the function and apply them to mitigate risk and exposure for the company. Incumbent is expected to grasp the key provisions and apply them effectively in each endeavor he/she undertakes in this position.   Qualifications/ Requirements :  - Incumbent must be holding a bachelor's degree in law (LL.B.) from a top law school/university   - Diplomas in legal vocations/subjects like Media and Entertainment, Intellectual Property Rights etc. shall be given weightage but are not must.  - Experience in courts by way of - private practice shall not be accounted for.  - Experience in media and entertainment industry, especially in the following area:   - Distribution of channels in India and outside India   - Acquisition and licensing of content   - Knowledge of the Copyright Act, 1957   - Excellent command over spoken and written English.   - Well versed with commercial negotiations.   - Incumbent must be self-driven and motivated.   - Incumbent must be able to demonstrate the ability to handle pressure situations with alacrity.   - Incumbent must have multitasking ability. Timely and efficient delivery of legal support is the key.
