Candidate Must Be :

- Preferable Female candidate - based at Chennai

- Law graduate with science background/Pharma exposure may be a big plus to better understand, analyse and handle medico legal issues

- Corporate experience (or) worked with leading Law firms supporting Corporate.

- Willingness to travel

- Language - to speak, read and write: English, Tamil, Hindi and one of the regional languages - Telugu/ Malayalam/Kannada

- Strong reference from leading counsels or legal heads in corporate

Essential Behavioural Traits :

- Efficient multi-tasking capability with a strong ability to plan, prioritize and manage complex business tasks under aggressive timelines with excellent selling skills.

- Proven negotiation skills, strong communication and presentation skills, ability to interface effectively with peers and senior management as well as ability to participate and facilitate group meetings

- Effective leadership talents combined with necessary - team player- attitude and spirit with a natural ability to establish consensus among cross-functional lines in a collaborative environment.

Key Requirements :

- Overview of statutory compliance relating to Companies

- Drafting, reviewing, negotiating and finalising NDAs, MoUs, LoIs, Service Agreements

- Title scrutiny of property documents, drafting and finalising Lease, leave & license agreements, sale deeds etc and registration procedures

- Due diligence, Mergers & Acquisitions

- Intellectual property rights - Trademarks and Copyright

- Member of Internal Complaints Committee

- Basic litigation experience

Requirements in detail :

Legal Affairs/ Strategy Planning :

- Spearheading and handling the gamut of legal affairs pertaining to all legal (Civil & Criminal) matters and instituting systems and legal practices to secure the best interests of the organization.

Corporate Affairs :

- Updating the top management about issues to be discussed in Board meetings, other strategic issues and coordinating with the various departments; monitoring implementation and ensuring compliances to Corporate Governance norms.

Statutory Compliance : Ensure compliance with all applicable laws and regulations

Intellectual Property : Providing assistance in Intellectual Property filings, litigation, licensing and transactional matters

Property :

- Scrutiny of Title Deeds / Property Documents. Bank Guarantees, Web Agreements, Service Agreements, GPAs and all matters of Transfer of Property Act along with filing / tabulation of the agreements and concerned link documents.

- Various agreements like Sale Deeds, Mortgage Deeds, Lease Deeds, Leave and License Agreements, MOUs along with various other documents concerning lease & purchase; lease Agreements / Deeds, Renewals, Issuing Termination Notices, perusal of title of Sale Deeds, verification and various documents

Legal Documentation Drafting And Vetting :

- Documents, legal agreements including various international documents. finalizing terms & conditions of contracts, settlement agreements; performing analysis to ensure that contracts are within negotiated & agreed-upon parameters. Vetting of NDAs (Non-Disclosure Agreements) and SLAs (Service Level Agreement)

Staff Matters & Labour Laws :

- Handling all staff and Labour cases & disputes, Cases arising out of Termination / Resignation / Full & Final Settlement. To be a member of the Internal Complaints Committee established under The Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, handle and resolve complaints

Litigation / Arbitration / Liaison :

- Maintaining sustained contact with legal professionals and government officials for initiating and follow-ups on legal procedures and finalizing various legal agreements; planning strategies, facilitating strategy meetings, supervision of other attorneys and managing outside counsels in various civil / criminal proceedings.

- Handling money recovery suits as well as suit under section 138 of Negotiable Instrument Act; prosecuting and defending specific matters of Finance, Banking, Labour, and Criminal cases.

- Attending various legal matters handled by the company in High Court, City Civil & Sessions Court, & Small Causes Court, All Magistrate Court.

- Conducting extensive research work and finding case laws, handling procedural aspects in various courts, interacting with advocates/solicitors, briefing and giving them instructions and preparing them for trials, etc.

- Preparing notices under various Sections and interacting with Advocates, briefing and giving them instructions and preparing them for trials etc.; attending arbitration proceedings, drafting of plaint, written statement, replies, affidavits, power of attorney, conveyance deed, intellectual property matters, etc.

- Various pleadings, motions in Civil, Land Grabbing & Labour matters; petitions, Counters / written statements relating to Civil, Criminal and Consumer matters respectively.

- Handling cases related to IT Act and Cyber laws
