The Compliance Officer is a member of the Law Department. The Compliance Officer will be responsible for providing compliance support and oversight for the Indian subsidiary and assist the General Counsel in various compliance and internal control documentation projects. The Compliance Officer reports to the General Counsel located in the United States.

Job Description-

1.To ensure compliance with all statutory and legal compliances applicable for a new Indian Company.

2.Preparation of Board and Shareholder meetings agenda, notice and related papers/documents etc.

3.To ensure good corporate governance as per securities regulations and laws and stock exchange rules.

4.Review and draft contracts, agreements and internal policies and ensure they are in compliance with all statutory, legal and corporate governance requirements.

5.Work with US General Counsel to document procedures for evidence and testing of internal control framework; liaise with internal audit team to provide evidence and documentation of controls under direction of General Counsel

6.Liaise with relevant departments to ensure that where legal risks have been identified, appropriate course of action have been taken

7.Coordinate with compliance vendors, where required

8.Build training materials

9.Manage and/or participate in various compliance projects, per direction of General Counsel

10.Review and advise on legal implications of internal policies and procedures.

11.Provide guidance to the operations team by establishing and implementing procedures according to compliance guidelines

Qualifications:

- LLB and/or Company secretary

- Minimum 6 to 7 years- work experience in compliance matters

- Experience working for a settlement services company, law firm, mortgage lender or other real estate entity with a clear understanding of regulatory requirements - a plus

- Excellent computer skills to include the following: Outlook, Word, Excel, PowerPoint, SharePoint and secure records storage

- Ability to independently research laws and regulations related to regulatory matters

- Ability to effectively communicate using verbal, written and graphic reports

- The candidate must have strong organizational skills, attention to detail, and flexibility as well as the ability to work effectively with global cross-functional teams in a fast-paced environment
