AGM/DGM/GM - Legal - LLB - Real Estate/Manufacturing/Oil & Gas/Power (15-20 yrs)
Job purpose :
Looking for a highly motivated person to handle all compliance and non-litigation matters; provide general legal advice to business operations.
Duties and responsibilities :
- Litigations - drafting of pleadings, liaison with external counsel and incidental matters attending and assisting arguing advocates etc.
- Arbitrations: - Drafting statement of claims, reply, rejoinders, affidavit in evidence, briefing Advocate on Record, senior advocate etc.
- Opinions: To examines queries/ issues of business and address the same through opinion on various laws.
- Documentations: To draft agreements, NDA, BOOT, BOT, JV, SPV, SPA, Bank Guarantees, Indemnity, Undertakings, Tenancy agreement, Pledge, Hypothecations, POA, etc.
- IPR: To take all necessary steps starting from filing of application till issue of license etc.
- Liaison with internal departments & external regulators and advisors, attending conference with advocates/solicitors and brief them for obtaining legal opinion on various issues
- Providing legal support to the Departments in the corporate office as well as to various Units / ICs of the Company.
- Due diligence for M&A transactions involving content heavy companies, conduct IP due diligence of such companies.
- Closely review the content posted on the website/application to suggest any necessary disclaimers, risk areas from a copyright perspective.
- Monitor contracts for compliance with government, company and department policies
- Manage the workflow of contracts, and assure compliance with existing agreements, and any government or company policies
Qualifications
Education : Degree in Law from a reputed institute, preferably National Law School of India University, Bangalore, Campus law, Delhi
Min Years of exp : Total 15 - 18 years of experience out of which 10 years should have been with the Industry/ Corporate Sector.
Knowledge & Skills :
- Outstanding communication skills and good interpersonal skills.
- Excellent drafting and commercial negotiation skills
- Proven ability to work as a member of a cross functional team.
- Experience in a manufacturing / EPC Company is highly preferred.
